Terms of Service

Welcome to Coursell. By accessing or using our platform at coursell.io ("Service"), you agree to be bound by these Terms of Service ("Terms"). Please read them carefully.

1. Overview

Coursell is a software-as-a-service (SaaS) platform that enables course creators ("Creators") to build, host, and sell digital courses to their customers ("Students"). Coursell is operated by:

2. Account Registration

To use Coursell, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must be at least 18 years of age to use this Service.

3. Subscription & Billing

Coursell offers a paid subscription plan billed on a monthly recurring basis. By subscribing, you authorize us to charge the applicable fee to your chosen payment method each billing cycle. Subscription fees are non-refundable except where required by applicable law. You may cancel your subscription at any time, and cancellation will take effect at the end of the current billing period.

4. Creator Responsibilities

As a Creator on Coursell, you are solely responsible for:

  • The content you create, publish, and sell through the platform
  • Ensuring your course content does not violate any laws, infringe on intellectual property rights, or contain harmful, misleading, or fraudulent material
  • Managing your own payment processor accounts (Stripe, PayPal) and complying with their respective terms of service
  • Any tax obligations related to your course sales revenue
  • Customer support and fulfillment for your own course sales

5. Payment Processing

Coursell does not process payments for course sales. Creators connect their own Stripe and/or PayPal accounts, and all course sale transactions occur directly between the Creator and the Student through those third-party processors. Coursell has no access to Creator revenue and takes no commission on course sales. Coursell's own subscription billing is handled through a third-party payment processor.

6. Intellectual Property

Creators retain full ownership of all content they upload to Coursell, including but not limited to course materials, text, images, video, and branding assets. By uploading content, you grant Coursell a limited, non-exclusive license to host, display, and distribute your content solely for the purpose of operating the Service. Coursell retains ownership of its platform, software, design, and branding.

7. Prohibited Uses

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Upload or distribute content that is defamatory, obscene, or infringes on the rights of others
  • Attempt to gain unauthorized access to any part of the Service
  • Interfere with or disrupt the integrity or performance of the Service
  • Use the Service to distribute malware, spam, or other harmful content
  • Resell or redistribute access to the Service without authorization

8. Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for conduct that we determine, in our sole discretion, violates these Terms or is harmful to the Service, other users, or third parties. Upon termination, your right to use the Service will immediately cease.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. Coursell does not warrant that the Service will be uninterrupted, error-free, or secure. We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

To the maximum extent permitted by law, Coursell shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Service. Our total liability for any claims under these Terms shall not exceed the amount you paid to Coursell in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Coursell and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your use of the Service, your content, or your violation of these Terms.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Service with a new "Last updated" date. Your continued use of the Service after any changes constitutes acceptance of the new Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Louisiana, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the courts of Orleans Parish, Louisiana.
